# Is Stripe a Merchant of Record? 2026 Guide

> Standard Stripe isn't a merchant of record, but Managed Payments can be. Compare tax duties, fees, eligibility, refunds, and disputes.

## Is Stripe a merchant of record? The short answer

**No—standard Stripe Payments does not make Stripe your merchant of record.** Your business remains responsible for customer support, refunds, disputes, receipts, and applicable taxes.

Stripe offers a separate merchant-of-record product: **Stripe Managed Payments**. For eligible transactions, Sold through Link, LLC acts as merchant of record and handles covered indirect taxes, fraud, disputes, invoices, receipts, and transaction support.

Adding Checkout, Billing, Radar, or Stripe Tax to standard Stripe Payments does not create a merchant-of-record arrangement.

## Stripe Payments: your business remains the merchant of record

Ordinary Stripe Payments provides payment infrastructure. Stripe’s [product comparison](https://docs.stripe.com/payments/managed-payments) identifies **your business** as merchant of record for other Stripe products and Stripe as merchant of record only for Managed Payments.

Under the [Stripe Payments Terms](https://stripe.com/legal/ssa/li), your business remains responsible for the goods or services, receipts, delivery, support, refunds, returns, and other customer services.

With standard Stripe, you must:

- Determine where to register for sales tax, VAT, or GST
- Calculate, collect, file, and remit applicable tax
- Provide legally compliant invoices and receipts
- Operate your refund policy
- Monitor disputes and submit evidence
- Provide product and transaction support
- Reconcile Stripe balances and payouts

Stripe supplies tools for these tasks without assuming the underlying responsibility. For disputes, Stripe debits the disputed amount and fee from your balance and lets you respond; the issuer decides the outcome. Responses are commonly due within **7 to 21 days**, according to Stripe’s [dispute documentation](https://docs.stripe.com/disputes/responding).

## Stripe Tax automates compliance but does not make Stripe the MoR

Stripe Tax can monitor thresholds, calculate and collect tax, produce reports, and connect your business with registration or filing services. It does not make Stripe the merchant of record.

Stripe’s [Tax documentation](https://docs.stripe.com/tax/how-tax-works) requires businesses to identify obligations, register, file, and remit collected tax. Filing partners may automate parts of that work without transferring the obligation.

| Stripe Tax function | Responsibility that remains |
|---|---|
| Calculates sales tax, VAT, or GST | Your business remains merchant of record |
| Adds tax at Checkout | You must ensure registrations are complete |
| Monitors possible thresholds | You must confirm actual obligations |
| Produces reports | Returns must still be filed and tax remitted |
| Connects filing partners | Liability does not automatically transfer |

[Stripe Tax pricing](https://stripe.com/tax/pricing) lists US Tax Basic at **0.5% per transaction** for supported no-code integrations where the business is registered to collect. Tax Complete starts at **$90 per month** under a one-year contract. Coverage and regional availability are conditional.

**Decision rule:** choose Stripe Tax when you want automation but are willing to remain merchant of record.

## How Stripe Managed Payments changes responsibilities

Stripe Managed Payments is Stripe’s merchant-of-record product. Its documentation says it handles covered sales tax, VAT, and GST compliance in more than **80 countries**, along with fraud prevention, disputes, transaction-level support, receipts, and invoices.

The [Managed Payments Terms](https://stripe.com/en-cy/legal/ssa-services-terms) identify Sold through Link, LLC as merchant of record for Managed Payments transactions. Your company remains the seller and continues recording product-sale revenue.

For covered transactions:

- Stripe manages covered indirect-tax registration, calculation, filing, and remittance
- Stripe configures fraud controls and handles disputes
- Stripe sends receipts and invoices
- Link provides transaction-level support
- Your team remains responsible for delivery and product-level support

Managed Payments does not transfer every financial risk. Your company remains liable under the terms for refunds, disputes, and reversals arising from its sales. Stripe may debit these amounts from your Stripe balance or, where permitted, your bank account.

Stripe may issue a refund within **60 days** despite a more restrictive seller policy. During a complaint, you generally have **48 hours** to provide requested product information before Stripe may refund without your input.

## Standard Stripe restricted businesses

Stripe's [Restricted Businesses policy](https://stripe.com/legal/restricted-businesses) applies to standard Payments as well as specialized products. Key prohibited or restricted categories include:

- Illegal goods, IP infringement, hate content, and deceptive businesses
- Adult content and services
- Gambling and games of chance
- Drugs, weapons, and other regulated goods
- Some financial services, cryptocurrency activities, money transmission, and payment aggregation
- Unapproved marketplaces or third-party payment processing

“Restricted” does not always mean universally banned: some categories require prior approval and have country-specific limits. Check the current policy for your exact product and operating country before integrating.

## Managed Payments eligibility and limits

Activation requires account review and is not universally available. The [eligibility page](https://docs.stripe.com/payments/managed-payments/eligibility) lists supported businesses in the United States, Canada, Australia, Hong Kong, Japan, Singapore, and specified European jurisdictions.

Eligible direct-sale products include:

- SaaS, downloadable software, and video games
- AI-as-a-service products
- E-books, digital media, and downloadable artwork
- Prerecorded or written on-demand courses
- Hosting and certain electronically supplied web services

Managed Payments does not support:

- Physical products
- Consulting, development, design, marketing, or technical-support services
- Human-led services such as one-to-one coaching
- Connect platforms, marketplaces, or platform-controlled accounts
- Products sold without required distribution rights
- Elements and other unsupported advanced payment integrations

It supports Checkout, Payment Links, and eligible Billing subscriptions. Every product in a transaction must qualify and use an eligible tax code.

Mobile app-store rules still apply. Apple generally requires in-app purchases for digital functionality, subject to regional programs and exceptions in its [App Review Guidelines](https://developer.apple.com/app-store/review/guidelines/). Google Play applies its own billing requirements and regional alternatives under its [payments policy](https://support.google.com/googleplay/android-developer/answer/9858738).

## Stripe Payments vs Managed Payments

| Responsibility | Standard Stripe | Stripe plus Stripe Tax | Stripe Managed Payments |
|---|---|---|---|
| Merchant of record | Your business | Your business | Sold through Link, LLC for eligible transactions |
| Tax registration | Your business | Your business, with optional assistance | Stripe for covered sales; seller for exceptions |
| Calculation | Your business | Automated where configured | Stripe for covered sales |
| Filing and remittance | Your business | Your business or selected filing service | Stripe for covered sales |
| Invoices and receipts | Your responsibility, using Stripe tools if desired | Same | Stripe issues covered documents |
| Refund operation | Your team | Your team | You can refund; Stripe may also refund |
| Refund cost | Your business | Your business | Seller remains financially liable |
| Dispute work | Your team | Your team | Stripe handles the process |
| Dispute loss | Debited from your balance | Debited from your balance | Seller remains financially liable under the terms |
| Payout | Net Stripe balance | Net of Stripe and Tax fees | Net of taxes, fees, refunds, and reversals |

Coverage has exceptions. Stripe’s [tax-compliance page](https://docs.stripe.com/payments/managed-payments/tax-compliance) says sellers remain responsible where local regulations prevent Stripe from assuming indirect-tax liability. It excludes all domestic Japanese transactions and Singaporean domestic B2B transactions from Managed Payments tax responsibility.

For unsupported countries, you may enable Stripe Tax without additional calculation fees on those transactions, but your business still handles registration, filing, and remittance.

## Cost and founder scenarios

Stripe currently charges **3.5% per successful Managed Payments transaction**, in addition to payment-processing fees. Stripe’s [pricing explanation](https://support.stripe.com/questions/managed-payments-pricing) says this fee applies to the full amount, including indirect tax. Billing and other charges may apply separately.

**Illustrative calculation, not a quote:** a US customer pays $100 plus $8 tax using a domestic card. Based on the public US rates on [Stripe’s pricing page](https://stripe.com/pricing):

1. Managed Payments: 3.5% of $108 = **$3.78**
2. Card processing: 2.9% of $108 plus $0.30 = **$3.43**
3. Simplified combined fee: **$7.21**

This excludes Billing, currency conversion, dispute tools, and other applicable charges.

Compare that total with the cost of registrations, filing services, accounting time, dispute operations, support coverage, and delayed expansion.

- **Domestic B2B SaaS:** standard Stripe plus Tax often offers lower cost and more control.
- **Consumer software selling internationally:** Managed Payments may justify its fee if the product and checkout qualify.
- **A creator marketplace:** Managed Payments does not support Connect platforms; use Connect with explicit tax ownership or evaluate an MoR that supports marketplaces.
- **Software bundled with setup services:** the software may qualify, but human-delivered setup does not. Managed Payments will not cover the entire engagement.

## A practical decision rule

| Choose | Best fit | Main tradeoff |
|---|---|---|
| Standard Stripe | Limited markets, B2B sales, custom payment flows, or internal finance capacity | You own tax, disputes, invoicing, and support |
| Stripe plus Tax | You want tax automation while remaining merchant of record | Less manual work, but responsibility stays with you |
| Stripe Managed Payments | Eligible digital products sold directly across many supported countries | Higher fees and less control |
| Independent MoR | Stripe’s eligibility, product, market, or platform coverage does not fit | New integration, contract, payout, and vendor risks |

**Editorial recommendation:** use ordinary Stripe when control and lower transaction costs matter more than offloading compliance. Pay for an MoR when international indirect-tax and transaction operations materially slow growth or consume founder time.

When comparing independent MoRs, check whether quoted pricing includes payment processing, Billing, FX, disputes, refunds, tax invoices, registrations, support, and payout conversion. The contract—not the MoR label—determines responsibility for refunds, audits, reserves, and unsupported jurisdictions.

## Managed Payments launch checklist

| Check | Confirm |
|---|---|
| Account | Stripe has approved your business and enabled Managed Payments |
| Products | Every SKU and tax code is eligible |
| Sales model | You sell directly, without a marketplace or Connect platform |
| Tax coverage | Your customer countries and domestic sales are covered |
| Checkout | Checkout or Payment Links meets the integration requirements |
| Mobile apps | The flow complies with Apple and Google rules by region |
| Refunds | Your process accounts for Stripe’s 60-day authority and 48-hour response window |
| Disputes | You understand passed-through losses, fees, and evidence requirements |
| Invoices | Legal entities, tax IDs, and required fields are correct |
| Payouts | Settlement timing, currencies, FX, and negative balances are acceptable |
| Exit | You understand subscription migration and payment-authorization limits |

## Bottom line

**Standard Stripe Payments—including Stripe Tax—is not a merchant-of-record service.** Your business remains the merchant and retains responsibility for the transaction and tax compliance.

Stripe Managed Payments makes Sold through Link the merchant of record for eligible transactions. It handles covered indirect taxes, fraud, disputes, invoices, receipts, and transaction support, while your company remains responsible for delivery, product support, key refund and dispute costs, and documented tax exceptions.

For a small team, choose Stripe plus Tax when markets are limited or checkout control matters. Choose Managed Payments when eligible international sales create enough compliance and support work to justify the added fees and reduced control.

## Frequently asked questions

No. Access depends on Stripe approval, seller country, product type, sales model, tax code, and integration. Physical goods, human-delivered services, marketplaces, Connect platforms, and certain custom flows are excluded.

### Does Managed Payments eliminate all of my tax obligations?

No. Stripe handles indirect-tax compliance only for covered transactions. Sellers remain responsible for documented exceptions and unsupported countries.

### Who pays when a Managed Payments transaction is refunded or disputed?
